Düsseldorf, Germany – The board of ADLINK Technology adopted a
resolution today to acquire 100% shareholding of Ampro Computer Inc.(“Ampro”).
ADLINK will acquire a total of 39,743,137 common shares in Ampro (representing 100% of Ampro's shareholding) with a total investment amount of US$20 million. The relevant Share Purchase Agreements have been executed by and between ADLINK International, a 100% holding subsidiary of ADLINK and the shareholders of Ampro today and the closing is expected to take place upon the completion of specified conditions.
The acquisition by ADLINK in Ampro mainly focuses on Ampro's excellent capability of design, R&D, and manufacturing in embedded computing especially in ruggedized sector and in hope of consolidating the competitive edge of the two parties for a win-win situation: Ampro's US sales channels, customer services, and logistic centers can help to increase ADLINK’s US sales of embedded computing products. In addition, with the assistance of ADLINK's strong capability of design, R&D, and manufacturing in embedded computing products, The current cost structure of Ampro can be greatly improved so as Ampro may broaden other potential end-application markets and create synergy from integrating the ODM and marketing services.
